Job Description
The role holder is responsible for supporting Head of Legal & Board Secretary on management and control of legal and corporate affairs of the bank. The role holder supports internal departments through legal consulting including contracting, due diligence, litigation and to ensure adherence to legal provisions and protection of company rights.
Role & Responsibilities:
- Review and draft all types of legal documents such as standard contracts, correspondences, terms and conditions, policies, procedures, forms, incorporation documents, to ensure accuracy and reliability of documents.
- Perform research and provide summaries and trainings on various areas of law and update standard documentation accordingly.
- Prepare briefs for lawyers and external counsels along with providing any required information, to handle Bank and its subsidiaries’ legal matters.
- Follow up on the progress, monitor and keep track of all court cases filed against or on behalf of the bank and its subsidiaries, maintain an up to date litigation register, generate reports and work closely with the Head of Legal & Board Secretary to define a strategic defence and the settlement of disputes where warranted.
- Support the development of long-term compliance strategies and drive compliance-related standards and procedures that support legal and operational compliance with all laws, regulations, policies and procedures and ensures adherence.
- Liaise with external legal service providers/lawyers in order to strategies/mitigate/resolve legal issues in an expedited manner and achieve the best possible outcome and level of recovery of default amounts.
- Provide counsel and assistance to the Remedial Department in relation to the bank’s court cases.
- Assist with the portion of the digital transformation project relevant to the Legal Department.
- Maintain a record of all corporate and commercial documents, agreements, property papers and rights agreements etc. including certified copies obtained from various authorities in safe custody.
- Develop and maintain strong relationships with external counsel who provide legal services to the Bank Foster professional, cooperative, and supportive relationships with peers, superiors, and internal clients Prepare, review, edit and proofread a variety of documents.
- Take notes, prepare correspondence, reports and datasheets.
- Undertake any special assignments as required by the Head of Legal and Board Secretary from time to time.
- Define performance goals at the start of the year in discussion with the reporting manager and ensure that the goals are achieved during the year.
- Identify the training and development requirements for self and agree on them with the reporting manager to ensure that the required trainings are arranged and attended.
Qualification Required:
- Bachelor’s Degree in Law. Master’s Degree in Law is preferrable.
- Professional Certifications: Currently licensed to practice law in the Kingdom of Bahrain.
Years of experience:
- 3 years and above providing administrative support to a legal, technical, and/or executive team.
Job Specific Skills:
- Qualified to practice Bahrain law (preferable).
- Strong familiarity with word processing software and spreadsheets, including Microsoft Word, Excel, and PowerPoint.
- Ability to quickly learn new software functions and features for supporting legal processes.
- Excellent analytical skills. Ability to review contracts and extract key timeline information even in the face of ambiguities.
- Superior organization, attention to detail, and interpersonal/ communication skills, including strong writing skills.
- Fluency in English and Arabic.

- Real Estate: delivers real estate KPIs, including negotiation of lease contracts and risk-advice, dispute resolution, and litigation.
- Supports Chief Development Officer, Sr. Director of Real Estate, and other key stakeholders in development strategy creation through legal protection, clear processes for relevant legislation in NSO.
- Supports business decisions with legal information, proactively seeks ways to bring value to business.
- Ensures consistent support for real estate team in contracts approval processes.
- Anticipates issues (“sees around the corner”), estimates risk strategically and identifies pro-active, risk-weighted solutions.
- Provides strategic legal advice to real estate management, including priority areas.
- Drafts documents, in Arabic and English, including lease agreements, fit-out agreements, real estate agreements, settlement and release agreements, waivers, etc.
- Research legal issues in response to internal needs and presents in timely, digestible, solution-oriented format.
- Compliance: sets real estate processes and risk/litigation mitigation strategy. Role models compliance with Americana’s processes, internal policies, code of conduct and core value behaviors.
- Litigation: manages all phases of disputes and litigation (with support from central litigation function), as well as general case management.
- In-house team: supervises legal work of in-house attorneys and staff of the legal department, coaches, mentors the team for KPIs realization in line with Americana culture. Follows and teaches the team to live Americana people practices (throughout Americana people cycle, starting with hiring, on boarding through training, development and when necessary, exit); Coaches the team for personal development, has identified successor/s and is a mentor for cross functional teams to support Americana growth.
- Role models compliance with Americana processes, internal policies, code of conduct and core value behaviors.
- Is accountable for team performance – coaches, mentors the team for KPIs realization in line with Americana culture.
QUALIFICATIONS AND EXPERIENCE:
Education :
- BSc, LLB, or LLM degree in Law
- MBA is an asset
Experience:
- 4+ years of solid experience of practice law firm
- Experience successfully leading a team of talented legal professionals in the Middle East
- Experience working on matters of corporate governance and with a board of directors
KNOWLEDGE AND SKILLS:
Knowledge:
- Solid knowledge of real estate agreements, inc. lease agreements
- Solid knowledge of real estate customary practices across the MENA
- Solid knowledge of commercial viewpoint and organizational/operational structures
Skills:
- Ownership mindset
- Proven resources management, people management and leadership skills.
- Excellent analytical, interpersonal and communication skills.
- Strong organizational, problem-solving and analytical skills.
- Proven efficiency in dealing with complex matters with multiple stakeholders and forces.
